These Terms of Service ("Terms") govern your use of GoStocktake, a stocktaking platform operated by Ideasbench Limited, NZBN 9429053627407 ("we", "us", "our"), a company registered in New Zealand. GoStocktake provides an admin portal, a counting app, and a permanent, exportable record of the stock counts you make.
By signing up for a GoStocktake account, you ("you", "the Business") agree to these Terms. If you do not agree, do not use the service.
1. Who these terms apply to
These Terms apply to the business that holds the GoStocktake account and the people who sign in to use it, including administrators and the staff who carry out counts. They do not create any agreement with the customers or clients of your business.
2. Business use only
GoStocktake is supplied for business use only. You acknowledge that you acquire and use the service in trade, for the purposes of your business, and that to the extent permitted by law the Consumer Guarantees Act 1993 does not apply.
3. Your account
You sign up by providing your business name, an email address, and your country. You are responsible for the accuracy of the information you provide and for keeping it current.
You are responsible for all activity under your account. You must keep sign-in credentials confidential and ensure each person uses their own login, since every count is attributed individually to the person who made it. You must tell us promptly if you believe an account has been compromised.
Accounts within your business (administrators and counters) are created and managed by you. We do not create staff accounts on your behalf.
4. Subscription, billing and the free month
Holding a GoStocktake account is free and permanent. You can create workspaces, build product catalogues, and view and export history without charge. What you pay for is counting: a workspace is subscribed to enable new counting activity in it.
Subscriptions are charged per workspace. Current pricing is shown at signup and on our website, and is quoted exclusive of GST, with GST added at the applicable rate. You may subscribe a workspace monthly, with the first month free, or annually.
A valid payment method is required to subscribe, and is stored for renewal. Subscriptions renew automatically each billing period until cancelled. Payments are processed by our payment provider. Charges that fail may be retried, and we will contact you to update your payment details. Repeated failed payments may end the subscription (see clause 5).
Each workspace is billed independently. Adding a workspace is free; counting in it means subscribing that workspace on its own. Because each subscription stands alone, there is no pro-rata adjustment when you add or stop counting in a workspace mid-period.
5. Cancellation, lapse and refunds
You may cancel a workspace's subscription at any time from your billing settings. Cancelling, or letting a subscription lapse, does not close your account. The affected workspace becomes read-only: you keep full access to view and export all of its history, you can finish any count already in progress, and you can re-subscribe at any time to resume counting. Your account and your other workspaces are unaffected.
Except where required by law, you are not entitled to a refund of payments already made, including the unused portion of an annual prepayment, and cancelling stops future renewals rather than refunding the current period. We may, at our discretion, issue a full or pro-rata refund in individual cases, generally within the first billing period; doing so in one case does not create any obligation to do so in another.
6. Suspension and termination by us
We may suspend or terminate your account if you breach these Terms, if payment is not received, if we are required to by law, or if we reasonably believe your use of the service is unlawful, fraudulent, or harmful to others. Where practical we will give you notice, but some circumstances may require immediate action.
7. Your data and content
You are responsible for the information you put into GoStocktake: your product catalogues, workspace and location details, any client details, and any labels or notes you add. You warrant that you have the right to upload and hold that information, including where it relates to another business whose stock you count, and that its use complies with applicable law.
You agree not to upload material that is unlawful, infringing, offensive, or contains malicious code, and not to interfere with, probe, or attempt to circumvent the security of the platform.
8. Counting for clients
If you use GoStocktake to count stock for clients, each client is kept in its own workspace. Your relationship with your client, including the engagement, what you charge, and how you deliver the results, is solely between you and them. We are not a party to it and have no liability for it. You are responsible for having the right to hold and process your client's stock information in the platform.
9. What GoStocktake is, and is not
GoStocktake records counts and produces exports. It is not a system of record for your live stock-on-hand, and it does not push adjustments into your inventory or accounting system. Reconciling your counts into your own books happens outside GoStocktake, in whatever system you already run, using the export. Any variance comparison offered at export time is a convenience based on figures you supply, not a stored stock level.
10. Your data is yours: export and retention
Your counts belong to you. You can export them at any time, including while a workspace is read-only. If a subscription is cancelled or a workspace becomes dormant, the associated data is retained and archived for up to 12 months and is available again if you reactivate. After that period we may delete or de-identify it unless we are required to keep it longer.
11. Availability
We make reasonable efforts to keep the service available but do not guarantee any specific uptime. The platform may be unavailable at times for maintenance, updates, or reasons outside our control. The counting app is designed to capture counts offline and sync them when a connection returns; signing in, starting a new count, and syncing require an internet connection.
12. Intellectual property
We own the GoStocktake platform, software, and brand. We grant you a limited, non-exclusive, non-transferable right to use the service for your business while your subscription is active. You retain ownership of your own business name, data, and content; you grant us the right to host, display, and process it as needed to provide the service.
13. Disclaimers and limitation of liability
The service is provided "as is" and "as available". To the maximum extent permitted by law, we exclude all warranties not expressly stated in these Terms, and we are not liable for indirect or consequential loss, or for loss of profits, revenue, data, or opportunity.
To the maximum extent permitted by law, our total liability arising from or connected with the service, on any basis, is limited to the amount you paid us for the service in the three months before the event giving rise to the claim.
14. Indemnity
You agree to indemnify us against claims, losses, and costs arising from your use of the service, your data and content, your dealings with your own clients, or your breach of these Terms.
15. Changes to these terms
We may update these Terms from time to time. If any changes are made we will email you and update the version and date above. Continuing to use the service after a change takes effect means you accept the updated Terms.
16. Governing law
These Terms are governed by the laws of New Zealand, and you submit to the non-exclusive jurisdiction of the New Zealand courts. If any provision is held unenforceable, the rest remains in effect.
